1. INTERPRETATION
1.1 The words and expressions used in the 5G+ Priority Specific Terms, which are defined in the General Terms and Mobile Terms but not explicitly defined in the 5G+ Priority Specific Terms, shall have the same meanings as defined in the General Terms and Mobile Terms, unless the context otherwise requires.
1.2. The headings or titles of the clauses in the 5G+ Priority Specific Terms are to facilitate reference and shall not be referred to or relied upon in the construction of any provision of the 5G+ Priority Specific Terms.
2. INTRODUCTION
2.1. 5G+ Priority (“5G+ Priority Service” or “Service”) is a service that prioritises data traffic within a single network to provide a higher relative speed based on International Mobile Subscriber Identity (IMSI), through the allocation of higher priority radio resources and dedicated radio resource partitioning. The minimum bitrate speed of 1 Mbps Downlink and 1 Mbps Uplink, is subject to connectivity and data traffic within each base station.
2.2. The 5G+ Priority Service upgrades data only and it does not provide additional data quota or coverage.
2.3. The 5G+ Priority Service is only available in Singapore and cannot be used overseas. It is only accessible on Singtel-owned and operated 5G standalone (5G SA) wireless network, and cannot be accessed while roaming or through Wi-Fi (including Wi-Fi Calling).
2.4. Customer agrees to comply with and be bound by these Specific Terms and Conditions for 5G+ Priority (“5G+ Priority Specific Terms”). Singtel reserves the right to amend, vary or supplement the 5G+ Priority Specific Terms without providing any prior notice.
3. ELIGIBILITY
The 5G+ Priority Service is exclusively for Singtel Mobile Enterprise Customers with 5G access on a 5G SIM card with 5G-compatible mobile device. Subscribers of MobileShare Plus are required to purchase a 5G+ Priority Service for each individual End-User line. Subscribers of Singtel 4G Mobile Broadband and Enterprise Local Data Pool are not eligible for the 5G+ Priority Service. For the purposes of the 5G+ Priority Specific Terms, “End-User” shall mean the Customer’s employee.
4. 5G+ PRIORITY SERVICE FOR SPECIFIC MOBILE PLANS
4.1. Customers who subscribe to any of the existing mobile plans listed below are automatically entitled to a free subscription to the 5G+ Priority Service and are responsible for disabling the 5G+ Priority Service if they wish to opt out:
4.1.1. Priority S4 / Priority S5 plan;
4.1.2. E5 plan; and
4.1.3. XO Plus 288 plan,
(each, a “Specific Mobile Plan” and collectively, “Specific Mobile Plans”).
4.2. Customers who subscribe to the Specific Mobile Plans will also receive priority access to Singtel enterprise premium care for any assistance in relation to the 5G+ Priority Service.
4.3. The benefits mentioned in Clause 4.1 and Clause 4.2 above shall be suspended or terminated if the Customer’s Specific Mobile Plan is suspended or terminated, and shall be reinstated upon the resumption of the service line linked to the Specific Mobile Plan.
5. AVAILABILITY OF THE 5G+ PRIORITY SERVICE
While Singtel aim for the 5G+ Priority Service to be highly reliable and available, Customer acknowledges that it may not be available 100% of the time. The 5G+ Priority Service is subject to sporadic interruptions or failures due to a variety of reasons beyond Singtel’s control, including issues from third party partners. Customer acknowledges these limitations and agree that Singtel is not responsible for any damages allegedly caused by the failure or delay of the 5G+ Priority Service.
6. MODIFICATION, SUSPENSION AND TERMINATION
6.1. Singtel reserves the right to modify, suspend, or terminate the 5G+ Priority Service at any time, at Singtel’s sole discretion, without notice and without liability:
6.1.1. Singtel reserves the right at any time, in its sole discretion, to enhance, replace, modify, or add to the 5G+ Priority Service, including revisions to any and all specifications for the 5G+ Priority Service. In the event of 5G+ Priority Service discontinuation, Singtel will use reasonable commercial effort to provide Customer with advance notice.
6.1.2. Singtel may temporarily suspend (indefinitely or for such period as Singtel may consider appropriate) the 5G+ Priority Service without providing any reason. In the event of a suspension, Singtel will restore the 5G+ Priority Service as soon as reasonably practicable.
6.1.3. Singtel may cancel or terminate (including termination after suspending or breach of the 5G+ Priority Specific Terms by the Customer) the 5G+ Priority Service, as Singtel deemed necessary, without providing any reason.
6.2. If Customer terminates the 5G+ Priority Service, the benefits under 5G+ Priority Service shall immediately cease, and Customer agrees to cease all use of the 5G+ Priority Service.
7. WARRANTY
7.1 Without limitation, to the maximum extent permitted by applicable law, the 5G+ Priority Service is provided “as is” and without warranties of any kind, express or implied (including but not limited to any and all implied warranties of merchantability, quality or fitness for a particular purpose).
7.2. Singtel does not represent or warrant that the 5G+ Priority Service is accurate, complete, reliable, uninterrupted, up-to-date or error-free.
7.3. Performance, experience, and speed are not guaranteed and may be affected by other factors such as network congestion, coverage, End-User’s device, and third-party limitations.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Singtel shall not be liable to any Customer, End-User or any other party in contract, tort (including negligence or breach of statutory duty) or otherwise howsoever and whatever the cause thereof, for any losses or damages (i.e. direct, indirect, consequential, collateral, special or incidental losses or damages) suffered or incurred by any Customer, End-User or any other party in connection with the provision and/or use of the 5G+ Priority Service whether during or after the term of the provision of the 5G+ Priority Service. For the purposes of the Agreement, indirect or consequential loss or damage includes, without limitation, loss of revenue, profits, anticipated savings or business, loss of data or goodwill, loss of use or value of any equipment including software, and all associated and incidental costs and expenses.
9. PRIVACY AND DATA COLLECTION
Customer agrees to Singtel’s collection, holding, storage, use, processing, transfer, and disclosure to any relevant third party, of its End-User’s personal data and/or other information provided to Singtel, for (i) the purposes of the provision of the 5G+ Priority Service; and (ii) for one or more of the purposes set out in Singtel’s Data Protection Policy (available at https://www.singtel.com/data-protection) and acknowledges that the terms of the Data Protection Policy are incorporated by reference into this Clause.
For the avoidance of doubt, Customer must ensure that it complies with the applicable Personal Data Protection Act by ensuring that it obtains the consent of its End-Users for Singtel to collect, use and disclose the End-User’s personal data for the provision of the 5G+ Priority Service.
10. APPLICABLE TERMS AND CONDITIONS
10.1. In addition to the 5G+ Priority Specific Terms, the 5G+ Priority Service is also governed by the following terms:
10.1.1. General Terms and Conditions for Enterprise (https://www.singtel.com/terms-general-enterprise) (“General Terms”); and
10.1.2. Enterprise Mobile Terms and Conditions (https://www.singtel.com/enterprise-mobile-terms-and-conditions) (“Mobile Terms”).
10.2. In the event of any inconsistency between the different parts of the terms and conditions above, unless agreed otherwise by Singtel, the following order of precedence shall apply to resolve the inconsistency in relation to the 5G+ Priority Service:
10.2.1. 5G+ Priority Specific Terms;
10.2.2 Mobile Terms; and
10.2.3 General Terms.
11. GOVERNING LAW
The 5G+ Priority Specific Terms shall be governed by and construed in accordance with the laws of Singapore and each Customer agrees to submit to the non-exclusive jurisdiction of the courts of Singapore.
