1. INTERPRETATION
1.1. The words and expressions used in the EMP Specific Terms, which are defined in the General Terms and Mobile Terms but not explicitly defined in the EMP Specific Terms, shall have the same meanings as defined in the General Terms and Mobile Terms, unless the context otherwise requires.
1.2. The headings or titles of the clauses in the EMP Specific Terms are to facilitate reference and shall not be referred to or relied upon in the construction of any provision of the EMP Specific Terms.
1.3. Customer agrees to comply with and be bound by these EMP Specific Terms. Singtel reserves the right to amend, vary or supplement the EMP Specific Terms without providing any prior notice.
2. ENTERPRISE MOBILE PROTECT VAS
2.1. Enterprise Mobile Protect (“EMP VAS) is a mobile add-on service which provides protection against security threats at the 5G mobile network level.
2.2. The EMP VAS is available both in Singapore and overseas (i.e. they are supported while roaming on Singtel network).
2.3. Customer agrees to comply with and be bound by these Terms and Conditions for Enterprise Mobile Protect (“EMP Specific Terms”). Singtel reserves the right to amend, vary or supplement the EMP Specific Terms without providing any prior notice.
2.4. The EMP VAS does not extend support to the Enhanced Voice App VAS (as defined in the Specific Terms and Conditions for 5G+ Priority Value Added Service). Consequently, for Customers subscribed to Enhanced Voice App VAS, the selected applications routed through the Enhanced Voice App VAS dedicated slice are not protected under EMP App VAS. However, the applications and usage not routed through the Enhanced Voice App VAS dedicated slice will be protected by EMP VAS.
3. GENERAL ELIGIBILITY FOR EMP VAS
3.1. The EMP VAS is exclusively for Singtel mobile enterprise customers with 5G access on a 5G SIM card with 5G-compatible mobile device.
3.2. Subscribers of “MobileShare Plus” are required to purchase an EMP VAS for each individual End-User line. For the purposes of the EMP Specific Terms, “End-User” shall mean the Customer’s employee.
3.3. Subscribers of “Singtel 4G Mobile Broadband” and “Enterprise Local Data Pool” are not eligible for the EMP VAS.
4. ELIGIBILITY FOR ENTERPRISE MOBILE PROTECT VAS
A. CUSTOMERS WITH SPECIFIED MOBILE PLANS
4.1. Customers who subscribe to any of the existing mobile plans listed below are automatically subscribed to a complimentary subscription to the EMP VAS. If Customers wish to opt out, they should inform Singtel and are responsible for disabling the EMP VAS:
a. Priority S4/S5 Plan;
b. Enterprise Mobile Bundle – E5 Plan; and
c. XO Plus 288 Plan
(each, a “Specified Mobile Plan” and collectively, “Specified Mobile Plans”).
4.2. Customers who subscribe to the Specified Mobile Plans will also receive priority access to Singtel enterprise premium care for any assistance in relation to the EMP VAS.
4.3. The benefits set out at Clauses 4.1 and 4.2 above shall be suspended or terminated if the Customer’s Specified Mobile Plan is suspended or terminated, and shall be reinstated upon the resumption of the service line linked to the Specified Mobile Plan.
B. CUSTOMERS WITH AN AVERAGE MONTHLY SPENDING OF $80 AND ABOVE (PER LINE) ACROSS 3 MONTHS
4.4. Customers who (a) are subscribed to the mobile plans listed below (“Eligible Mobile Plans”), and (b) have an average monthly expenditure of $80 and above (excluding GST) per line on their mobile plan over a consecutive 3-month period (“Spending Requirement”), are automatically subscribed, on a complimentary basis, to the Enterprise Mobile Protect Service for a period of 3 months:
Eligible Mobile Plans for complimentary Enterprise Mobile Protect Service:
a. Enterprise Mobile Bundle – E1/E2/E3/E4 Plan;
b. S1 Plan;
c. Enhanced S2/S3 Plan;
d. SIM Only Plus 30/45/55 Plan; and
e. 5G SIM Only Flexi/Basic/Enhanced Lite/Enhanced Core Plan
4.5. For the avoidance of doubt, the Spending Requirement:
a. is calculated based on the nett bill amount paid on the mobile line; and
b. excludes any advanced billing amounts charged for the first month for a newly registered line. Only the full monthly charges attributable to the relevant billing period will be considered.
4.6. After the initial 3-month period, the complimentary subscription will renew on a monthly basis provided that the Customer continues to meet the Spending Requirement based on a rolling 3-month average. If Customers wish to opt out, they should inform Singtel and are responsible for disabling the EMP VAS.
4.7. The EMP VAS will be automatically terminated at the end of the 3-month period if the Customer fails to meet the Spending Requirement.
4.8. The Spending Requirement cycle will be reset if a Customer changes their mobile plan or recontracts during an ongoing complimentary subscription period.
4.9. The complimentary subscription or termination of the EMP VAS will occur on the 15th of the month after the Customer has met or has failed to meet the Spending Requirement over a consecutive 3-month period.
4.10. Customers who are eligible for the complimentary subscription will also receive priority access to Singtel enterprise premium care for any assistance in relation to the EMP VAS during the 3-month period.
4.11. In the event Customers have subscribed to EMP VAS, the complimentary subscription applies strictly to the purchase of the EMP VAS as an add-on. Customers will receive a waiver of the applicable charges during the complimentary subscription period. For the avoidance doubt, the complimentary subscription does not apply to Customers who have subscribed to the following:
(a) 5G+ Priority App VASes, 5G+ Priority Data VAS (7-day plan) or 5G+ Priority Data VAS (30-day plan) (as defined in the Specific Terms and Conditions for 5G+ Priority Value Added Service); and
(b) EMP VAS as part of a bundled package. Customers may still receive SMS notifications relating to the complimentary subscription due to system automation. The receipt of such notifications does not constitute eligibility or entitlement to the complimentary subscription.
4.12. The complimentary subscription will not be available during the periods of temporary suspension, disconnection (e.g., due to overdue payment), or pending work order closure.
4.13. An SMS notification will be sent to inform Customers about the status of their complimentary subscription, including its activation, termination, and cases where Customers are qualified but not eligible due to having a 4G SIM. Customers who wish to opt out of receiving the SMS notification must notify Singtel and are responsible for disabling the SMS notifications service.
5. PROVISION OF EMP VAS
5.1. Sharing of Data. Customer acknowledges that Singtel, its affiliates and/or their third-party service providers may receive information about Customer and/or its End-User’s use of the EMP VAS, including without limitation, the sites that End-User visits. For example, Singtel may receive a notification if an End-User visits a website that contains malicious links. If Customer does not wish for Singtel, its affiliates and/or their third-party service providers to receive this information, the Customer shall not use the EMP VAS.
5.2. SMS Notification Alert for Non-URL Threats. Singtel has the right to specify or vary the scope and extent of (or otherwise discontinue) the SMS notifications from time to time without prior notice, and without being liable to Customer.
5.3. Security of Data. The Customer shall be solely responsible for all content and applications (“Data”) stored in its End-User’s devices. Singtel shall have no liability whatsoever for any loss of Data while providing the EMP VAS and Customer agrees to be responsible for ensuring that its End-User backs up all customer data.
5.4. Availability of the EMP VAS. While Singtel aims for the EMP VAS to be highly reliable and available, Customer acknowledges that it may not be available 100% of the time. The EMP VAS is subject to sporadic interruptions or failures due to a variety of reasons beyond Singtel’s control, including delay in security data feeds from third party partners. Customer acknowledges these limitations and agrees that Singtel is not liable for any damages allegedly caused by the failure or delay of the EMP VAS .
5.5. Automatic Updates. Singtel may, from time to time, develop updates, patches, bug fixes, and other modifications to the EMP VAS (“Updates”) at no cost to the Customer. These updates may be installed automatically without providing any prior notice to the Customer or requesting any further consent from Customer. By accessing or using the EMP VAS, Customer consents to receive automatic Updates.
5.6. Data Logs. Data logs related to threat and URL filtering for the EMP VAS will be available to the Customer for a period of up to thirty (30) days from the date of detection of the threat and URL filtering.
6. MODIFICATION, SUSPENSION AND TERMINATION
6.1. Singtel reserves the right to modify, suspend, or terminate the EMP VAS at any time, at Singtel’s sole discretion, without notice and without liability:
6.1.1. Singtel reserves the right at any time, in its sole discretion, to enhance, replace, modify, or add to the EMP VAS, including revisions to any and all specifications for the EMP VAS. In the event of EMP VAS discontinuation, Singtel will use reasonable commercial effort to provide Customer with advance notice.
6.1.2. Singtel may temporarily suspend (indefinitely or for such period as Singtel may consider appropriate) the EMP VAS without providing any reason. In the event of a suspension, Singtel will restore the EMP VAS as soon as reasonably practicable.
6.1.3. Singtel may cancel or terminate (including termination after suspending or breach of the EMP Specific Terms by the Customer) the EMP VAS, as Singtel deemed necessary, without providing any reason.
6.2. If Customer terminates the EMP VAS, the benefits shall immediately cease, and Customer agrees to cease all use of the EMP VAS.
7. WARRANTY
7.1. Without limitation, to the maximum extent permitted by applicable law, the EMP VAS is provided “as is” and without warranties of any kind, express or implied (including but not limited to any and all implied warranties of merchantability, quality or fitness for a particular purpose).
7.2. Singtel does not represent or warrant that the EMP VAS is accurate, complete, reliable, uninterrupted, up-to-date or error-free. While Singtel attempts to block malicious sites and phishing sites and mitigate online security threats under the EMP VAS, Singtel does not represent or warrant that the security protection is 100% accurate or complete.
7.3. Customer acknowledges that Singtel is not responsible if certain malicious sites, phishing sites, botnets and/or other security threats on End-User’s Singtel mobile are not appropriately blocked. The Customer shall be responsible for maintaining safe cybersecurity practices.
8. LIMITATION OF LIABILITY
8.1 To the maximum extent permitted by law, Singtel shall not be liable to any Customer, End-User or any other party in contract, tort (including negligence or breach of statutory duty) or otherwise howsoever and whatever the cause thereof, for any losses or damages (i.e. direct, indirect, consequential, collateral, special or incidental losses or damages) suffered or incurred by any Customer, End-User or any other party in connection with the provision and/or use of the EMP VAS whether during or after the term of the provision of the EMP VAS. For the purposes of the Agreement, indirect or consequential loss or damage includes, without limitation, loss of revenue, profits, anticipated savings or business, loss of data or goodwill, loss of use or value of any equipment including software, and all associated and incidental costs and expenses.
8.2. Request for blocked website access. In the event the Customer requests access to such blocked websites, Singtel may, at its sole discretion, approve the request. The Customer shall be solely responsible for any loss, damage, malware infection, data breach, or other adverse impact arising from such access. Singtel shall have no liability whatsoever for any such consequences, and the Customer agrees to indemnify Singtel against all claims or losses arising therefrom.
9. PRIVACY AND DATA COLLECTION
Customer agrees to Singtel’s collection, holding, storage, use, processing, transfer, and disclosure to any relevant third party, of its End-User’s personal data and/or other information provided to Singtel, for (i) the purposes of the provision of the EMP VAS; and (ii) for one or more of the purposes set out in Singtel’s Data Protection Policy (available at https://www.singtel.com/data-protection), and acknowledges that the terms of the Data Protection Policy are incorporated by reference into this Clause.
For the avoidance of doubt, Customer must ensure that it complies with the applicable Personal Data Protection Act by ensuring that it obtains the consent of its End-Users for Singtel to collect, use and disclose the End-User’s personal data for the provision of the EMP VAS.
10. GOVERNING LAW
The EMP Specific Terms shall be governed by and construed in accordance with the laws of Singapore and each Customer agrees to submit to the non-exclusive jurisdiction of the courts of Singapore.
11. APPLICABLE TERMS AND CONDITIONS
11.1. In addition to the EMP Specific Terms, the EMP VAS is also governed by the following terms:
11.1.1. General Terms and Conditions for Enterprise (Terms and Conditions of Service - General | Singtel) (“General Terms”); and
11.1.2. Enterprise Mobile Terms and Conditions (https://www.singtel.com/enterprise-mobile-terms-and-conditions) (“Mobile Terms”).
11.2. In the event of any inconsistency between the different parts of the terms and conditions above, unless agreed otherwise by Singtel, the following order of precedence shall apply to resolve the inconsistency:
11.2.1. EMP Specific Terms;
11.2.2. Mobile Terms; and
11.2.3. General Terms.
